Agency Affiliate Policy
Introduction
The following Agency Partnership Terms & Conditions outline the rules, responsibilities, and benefits associated with participating in the FluentCart Agency Program.
In exchange for implementing, recommending, or deploying FluentCart for client projects, FluentCart Inc. will pay the participating Agency a 20% commission on the sale and renewal value (excluding taxes) of any valid license purchased by a client that was referred, onboarded, or managed through the Agency’s verified FluentCart partner account.These provisions govern how agencies may represent FluentCart, how commissions are earned and paid, and the professional conduct expected from all partners.
By enrolling in the program, agencies agree to abide by these terms in addition to FluentCart’s main Terms & Conditions and Privacy Policy.
1. Enrollment & Eligibility
1.1. To participate in the Agency Program, individuals or entities must complete the registration process by providing the following details:
- Full legal or business name
- Business email address
- Business website or business portfolio
- Client engagement method (e.g., project-based, retainers, etc.)
- PayPal payment email (for payouts)
- Agreement to these Agency Partnership Terms
1.2. Enrollment is free and open to any verified digital agency, freelance developer, consultant, or solution provider capable of deploying FluentCart for client use cases.
1.3. FluentCart reserves the right to review, reject, or terminate applications at its discretion if an applicant’s services, methods, or business practices are deemed unsuitable or misaligned with FluentCart’s brand values.
1.4. Affiliates must comply with applicable laws, including advertising and privacy regulations (e.g., GDPR, CCPA, FTC disclosure rules).
2. Commissions
2.1. Affiliates earn a flat 20% commission on all first-time purchases made through their affiliate links, subject to the product’s license pricing tier.
2.2. Commissions do not apply to the following cases,
2.2.1. License upgrades, downgrades, or plan switches.
2.2.2. Add-ons, upsells, or cross-sells, unless explicitly stated.
2.2.3 License renewals linked to those same clients. Commissions are not earned for internal purchases by the agency for its own operations or resale without direct client deployment.
2.2.4 Cross-sells of other WPManageNinja products unless stated under a unified incentive.
2.2.5 Add-ons, bundles, or upsells not directly tied to the FluentCart license.
2.3. FluentCart Inc. reserves the right to change Commission rates at any time they deem fit, with prior notice.
3. Commission Validation & Payouts
Agencies earn a flat 20% commission on all eligible FluentCart license purchases (annual or lifetime) and subsequent renewals from verified client accounts.
3.1. Commissions are placed in a pending state until after the refund period (currently 60 days) has passed.
3.2. Pending commissions exceeding $200 become eligible for payout after 60 days, subject to no chargebacks or refunds.
3.3. Payouts are made monthly via PayPal. Affiliates are responsible for ensuring accurate payout details.
3.4. FluentCart Inc. reserves the right to withhold or reject commissions in cases including, but not limited to:
3.4.1. Fraudulent, misleading, or manipulative referrals.
3.4.2. Self-referrals (purchasing through your own affiliate link).
3.4.3. Traffic generated through prohibited methods or policy violations.
3.4.4. Chargebacks, refunds, or cancellations related to referred sales.
3.5. Payment Method
Payouts are made monthly via PayPal. Agencies are solely responsible for maintaining accurate and valid payment details. FluentCart Inc. is not liable for failed payments due to incorrect information.
4. Affiliate Links & Promotion Guidelines
4.1. Each Agency will have a unique tracking ID or partner code to identify their referred clients. Attribution is determined based on:
- Verified client sign-ups via the agency’s referral link, or
- Manual verification by FluentCart support upon proof of client relationship.
If multiple agencies claim the same referral, the last verified attribution (prior to license purchase) will receive the commission.
4.2. As an Agency Affiliate for FluentCart you agree to the following:
4.2.1. Use only the links, media resources, and banners provided by FluentCart.
4.2.2 Not alter or misrepresent links, tracking codes, media resources or customer journeys.
4.2.3 Not place affiliate links on:
4.2.3a. Coupon or discount aggregator websites.
4.2.3b. Demo sites, documentation pages, or knowledge base resources.
4.2.3c. Sites containing offensive, illegal, or misleading content.
5. Client Deployment & Representation Guidelines
5.1. Client Integration
Agencies are authorized to install, configure, and manage FluentCart on behalf of their clients, provided they:
- Use legitimate licenses purchased through official FluentCart channels.
- Disclose FluentCart as the powering eCommerce engine in project documentation or proposals when applicable.
5.2. Representation Standards
Agencies agree to:
- Accurately represent FluentCart’s capabilities, pricing, and limitations.
- Use only approved logos, resources, and branding materials provided by FluentCart.
- Not alter or mislead clients about FluentCart’s ownership, licensing, or pricing terms.
5.3. Placement Restrictions
Agencies may not:
- List FluentCart or its logos on unauthorized directories as if it were their own software.
- Embed or distribute unlicensed/nulled versions of FluentCart.
- Mislead clients regarding the relationship between the Agency and FluentCart Inc.
6. Permissible Promotional Practices (Do’s)
6.1. Agencies are encouraged to:
6.1.1 Build and deploy client stores using FluentCart as the eCommerce platform.
6.1.2 Integrate FluentCart with other FluentSuite products for extended functionality.
6.1.3 Offer store setup, customization, migration, and maintenance services around FluentCart.
6.1.4 Educate clients on FluentCart’s benefits during onboarding and training.
6.1.5 Develop long-term client relationships that encourage renewals and upgrades through legitimate channels.
7. Prohibited Agency Practices (Don’ts)
7.1. Agencies are strictly prohibited from:
7.1.1. Purchasing FluentCart licenses through their own affiliate links for self-use.
7.1.2. Misrepresenting FluentCart’s pricing, ownership, or technical capabilities.
7.1.3. Selling unlicensed or pirated (nulled) copies of FluentCart.
7.1.4. Running search or display ads using FluentCart’s trademarks, brand names, or similar variations.
7.1.5. Using the FluentCart domain or subdomains as ad destinations.
7.1.6. Engaging in spam, misleading advertising, or black-hat SEO practices.
7.1.7. Offering unauthorized discounts, coupon promotions, or cashbacks.
7.1.8. Exploiting referral systems, loopholes, or automated fake leads.
7.1.9. Using adware, spyware, or cookie-stuffing techniques.
7.1.10. Misrepresenting FluentCart, its products, or its relationship with you.
7.1.11. Promoting on sites that host offensive, harmful, or illegal material.
Violations may result in immediate termination of the Agency Agreement and forfeiture of pending commissions.
8. Affiliate Resources & Support
8.1. FluentCart provides Agencies with official marketing assets. This includes logos, banners (both generic and seasonal), infographics, and screenshots—to support quality promotions.
8.2. Agency Affiliates have access to real-time tracking dashboards, performance monitoring tools, and dedicated affiliate support.
8.3. Verified Agency Partners may receive early access to product updates, beta testing opportunities, and roadmap feedback sessions depending on partnership tier.
9. Affiliate Warranties
By participating in the program, you represent and warrant that:
9.1 You possess full legal authority to enter into this agreement.
9.2 You conduct client business ethically and in compliance with industry standards.
9.3 You will not engage in fraudulent, deceptive, or harmful practices.
9.4 You will maintain proper disclosure of partnership status with FluentCart.
9.5 You will protect client and end-user data according to relevant privacy laws.
10. Intellectual Property & Branding
10.1. License to Use
FluentCart grants you a limited, non-exclusive, revocable license to use official brand materials (logos, banners, copy assets) strictly for client project promotion or co-branding purposes.
10.2. Restrictions
You may not modify FluentCart’s trademarks, create imitative assets, or mislead clients about product ownership.
10.3. Revocation Rights
FluentCart reserves the right to request removal of any marketing, design, or website material that misrepresents the brand or violates these terms.
11. Relationship of Parties
10.1. Participation in the Agency Program does not create a partnership, joint venture, employment, or agency relationship between FluentCart Inc. and the participating Agency. Agencies operate as independent contractors or service providers and may not bind FluentCart in any capacity.
12. Term & Termination
12.1. Either party may terminate this Agreement at any time, with or without cause, by written notice.
12.2. Upon termination, you must remove all links and stop using FluentCart’s promotional materials.
12.3. FluentCart reserves the right to withhold unpaid commissions in cases of fraud, abuse, or violation of these terms with or without explicitly revoking the Affiliate Agreement.
12. Indemnification
12.1. You agree to indemnify and hold FluentCart Inc. harmless against any claims, damages, or liabilities arising out of your actions, breaches, or misrepresentations within the scope of this Agreement.
13. Limitation of Liability
13.1. Indirect Damages
FluentCart Inc. is not liable for any indirect, consequential, or incidental damages including, but not limited to, loss of profit or client relationships.
13.2. Maximum Liability
FluentCart’s total liability shall not exceed the total commission paid to the Agency within the six months preceding any claim.
14. Severability
14.1. If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
15. Amendments
FluentCart Inc. may revise or update these Terms at any time. Continued participation in the Agency Program after such changes constitutes acceptance of the updated terms. Material updates will be communicated within a reasonable timeframe at FluentCart Inc.’s discretion.
16. Governing Law
16.1. This Agreement is governed by the laws of the United States (US), where FluentCart Inc. is incorporated. Any disputes shall be resolved under applicable US legal frameworks.
